Dear Members,


NOTIFICATION OF SPECIAL GENERAL MEETING (SGM)


NZDG will hold a Special General Meeting on 17th October 2020 at 6p.m. in Twizel (venue to be advised).


For those members unable to attend in person, e-voting will be enabled.

In the event of Covid-19 restrictions, the Meeting will be held by video conference (e.g. Zoom or Skype).


PURPOSES OF THE MEETING


There are several purposes to the Meeting:


1. MEMBERS TO RESOLVE THAT NZDG SHOULD APPLY FOR THE STATUS OF REGISTERED CHARITY


There are several reasons for NZDG applying for the status of registered charity:


(a) To be able to enjoy tax-free status with the IRD.


(b) To be able to raise funds more easily (for example from charitable trusts and government agencies)


(c) To enjoy improved standing with government (local and national), government agencies, trusts, donors and sponsors.


2. MEMBERS TO AGREE CHANGES TO NZDG'S CONSTITUTION


Some modest changes are required to NZDG's Constitution in order to enable us to apply for charitable status.


In particular, a charitable purpose clause will be added, the Winding Up clauses will be reviewed for accuracy, and the ability of NZDG to give out prize money will be removed from the Constitution. In practice we do not expect this last change to have any effect, as NZDG is not in the habit of paying out prize money. We do not expect tournaments with pro pay outs to be affected.


The proposed changes to the Constitution will be advised to Members in advance of the vote.

3. ELECTION OF DIRECTORS TO THE POSITIONS OF SECRETARY, TREASURER AND COMMUNICATIONS DIRECTOR


The Board is currently operating with the minimum number of four Directors, out of a possible seven. This is hard work for the current Directors, especially at a time of rapid growth. Most Directors are having to do double duty (fill two roles each).


Accordingly, at the SGM we will hold elections for the above three Director positions in the normal way.


We invite Members to stand for election. Would those wishing to stand please read our Constitution, section 9 (roles of Board Directors). You can find a link to the Constitution at the bottom of the ‘Governance’ page on our website (https://www.newzealanddiscgolf.org.nz/governance). We also invite prospective candidates to talk to any current Directors about what it means to be on the Board.


Candidates will need to advise me of their candidature in writing by 27th Sept 2020, supported in writing by a nominator and a seconder (who must both be current Members of NZDG).
